1. Parties and definitions
The Service is provided by Spacescaping Studio ("BrandManager", "we", "us"). "Customer" is the person or company an account is opened for. "User" is anyone who uses the Service, including team members a Customer invites. "Content" is any data, text, image, video or file added to or produced with the Service by the Customer or its Users.
2. The Service
BrandManager is a software platform for managing a brand's identity, website, social media, writing and related content, together with the design and set-up work described in your offer. The Service is for business and professional use, and the Customer confirms it acquires it for its commercial or professional activity. Features marked beta or planned are provided as they are and may change or be withdrawn. Content on this website is for information and is not an offer to sell; a demo request reserves nothing and creates no obligation for either side.
3. Accounts and access
Accounts are opened by us, for Customers we have agreed terms with. A temporary password must be changed at first sign-in. The Customer is responsible for everything done through its account and by its Users, for the roles and permissions it grants its team, and for keeping sign-in details confidential. Tell us at once at hello@brandmanager.pro if you suspect unauthorised access.
4. Fees and payment
Fees, scope and term are set in the written offer sent to the Customer; no price published anywhere is binding. Unless stated otherwise, fees exclude VAT and are payable in advance within seven days of the invoice. If an amount remains unpaid seven days after a reminder, we may suspend the Service, and commercial default interest may apply. Fees for periods already used are not refunded. We give at least 30 days' notice of any price change for a renewal period.
5. Plan limits
Each plan includes set limits on brands, team seats, storage and AI credits, shown in the Customer's account. We may restrict use beyond them until the plan is changed. Unused AI credits do not carry over to the next month.
6. Your content
Content belongs to the Customer. The Customer grants us a worldwide, non-exclusive, royalty-free right, limited to the term of the agreement, to host, process, back up, display and publish Content as needed to provide the Service. The Customer warrants that it holds all rights to its Content — images, logos, fonts, text — and that the Content breaks no law and infringes no one's rights, and it is responsible for what it publishes. We may show sites and work we produced as references only with the Customer's written consent.
7. Acceptable use
You may not use the Service to: publish unlawful, infringing, defamatory, obscene or violent content; send spam or unsolicited commercial messages; spread malware or attempt to breach, probe or overload our systems; copy, decompile or reverse-engineer the software; resell or sublicense the Service without our written permission; scrape or harvest data; impersonate others or mislead people about who you are. We may remove content or suspend access that breaks these rules.
8. AI features
AI-generated output may be inaccurate, incomplete or similar to output produced for others. The Customer must review it before publishing and is responsible for its use. We do not warrant that output is unique, correct or free of third-party rights. Do not enter special categories of personal data or confidential information you are not allowed to share.
9. Our intellectual property
The software, design, themes, templates, sections, components and the BrandManager name and marks belong to us or our licensors. During the agreement the Customer has a limited, non-exclusive, non-transferable right to use them within the Service and on the sites it publishes with the Service. They may not be copied, extracted or used outside the Service without our written permission. Rights in bespoke work made for a Customer are as stated in its offer.
10. Third-party services
The Service relies on third parties — hosting, email, AI, social platforms, domain registrars — whose own terms apply to them. We are not responsible for their outages, changes or decisions, including changes to social platforms' rules or interfaces.
11. Availability, maintenance and backups
We use commercially reasonable efforts to keep the Service available but do not guarantee it will be uninterrupted or error-free. We may carry out maintenance, announcing planned work where we can. We take regular backups; the Customer remains responsible for keeping its own copies of content that matters to it. No service-level commitment applies unless one is written into the offer.
12. Personal data
For personal data contained in Content or collected on sites the Customer publishes, the Customer is the data controller and we are the data processor. We process that data only to provide the Service and on the Customer's documented instructions; keep it confidential; apply appropriate technical and organisational measures; use the sub-processors listed in our Privacy Policy, which the Customer authorises, telling the Customer before adding new ones; help the Customer answer requests from data subjects; and delete or return the data when the agreement ends. The Customer is responsible for having a lawful basis for that data and for informing the people it concerns, including on its own site's forms.
13. Confidentiality
Each party keeps the other's non-public business information confidential and uses it only for the agreement, during the agreement and for two years after it ends.
14. No warranty
To the fullest extent the law allows, the Service is provided "as is" and "as available". We make no express or implied promise that it will be uninterrupted or error-free, fit for a particular purpose, or produce any particular commercial result — traffic, sales, rankings or followers.
15. Limitation of liability
To the fullest extent the law allows: (a) we are not liable for indirect or consequential loss, including loss of profit, revenue, data or reputation, or business interruption; and (b) our total liability arising from any event or series of events is limited to the fees the Customer actually paid us in the twelve months before the event. These limits do not apply to liability for intent or gross negligence, or to any other liability that cannot be limited by law (including under Article 115 of the Turkish Code of Obligations).
16. Indemnity
The Customer will indemnify and hold us harmless against third-party claims, fines and reasonable legal costs arising from its Content, its breach of these terms, or the acts of its Users.
17. Suspension and termination
We may suspend the Service immediately where there is a security risk, a breach of law, or non-payment after a reminder. Either party may end the agreement at the end of its term with 30 days' written notice, and may end it at once for a material breach not remedied within 15 days of written notice. After termination the Customer has 30 days to export its Content, after which we delete it, apart from what the law requires us to keep. Amounts already due remain payable.
18. Force majeure
Neither party is liable for failure caused by events beyond its reasonable control, including natural disasters, epidemics, war, strikes, government action, cyber-attacks, and failures of infrastructure providers or the internet.
19. Changes to these terms
We may update these terms. We email Customers about material changes at least 30 days before they take effect. A Customer that does not accept a change may end the agreement before it takes effect; continued use afterwards is acceptance.
20. Assignment and notices
The Customer may not transfer the agreement without our written consent; we may transfer it as part of a merger, acquisition or sale of the business, with notice. Notices are sent by email — to the Customer's account address and to hello@brandmanager.pro — and are treated as received on the next business day.
21. Evidence
For disputes under these terms, the parties agree under Article 193 of the Code of Civil Procedure that our server and database records, system logs and email correspondence are conclusive evidence unless proven otherwise.
22. Governing law and jurisdiction
These terms are governed by the laws of the Republic of Türkiye. The courts and enforcement offices of Istanbul (Central) have jurisdiction.
23. Entire agreement
These terms, the Privacy Policy and the Customer's written offer are the whole agreement between the parties. If any provision is invalid, the rest remain in force; not enforcing a right is not a waiver of it.
